Nilay has nine years’ experience advising clients on a full range of corporate and commercial transactions and daily legal matters. She focuses particularly on corporate, mergers and acquisition, private equity, banking, finance and capital markets, and energy matters.
Nilay acts as a senior legal advisor during general corporate law advisory services and mergers and acquisition projects. She is particularly experienced advising banks and lending institutions regarding credit facilities and other complex financing matters on the Turkish law aspects. Nilay has a proven track record advising financial institutions including private debt investors and lenders about equity financing.
She regularly advises clients during acquisitions, supporting international and local clients on both buy and sell-side transactions. Accordingly, she is experienced in supporting clients to structure and negotiate financing arrangements within transactional matters, focusing specifically on appropriate risk allocation and strategic commercial considerations.
Nilay’s recent advice to clients includes advising a foreign entity during an electricity wholesale and distribution acquisition as well as shareholders (including individuals and a private equity fund) on the sale of an insurance company to a strategic investment fund.
Nilay received a Jean Monnet Scholarship in 2008, a grant financed by the European Union within the framework of the country’s negotiation process for full European Union membership and has received an LL.M. degree from the London School of Economics and Political Science.
Nilay is a regular author on corporate and banking matters, often for major legal publishers.
