Baran Elçi, LL.M.

Baran advises leading domestic and international companies on capital markets, corporate and M&A transactions, and energy-sector regulatory matters. He works extensively with clients operating in capital-intensive and regulated industries, including automotive and auto-parts manufacturing, food and retail groups, renewable energy companies, and insurance providers. His practice integrates full lifecycle of corporate and financial transactions, combining regulatory insight.

In capital markets, Baran provides counsel to publicly held companies on complex structural transactions and market-sensitive matters. He supports issuers in offerings of debt instruments, sukuk structures, and advises on disclosure obligations. His experience includes preparing founding documentation and regulatory filings for investment fund establishments. He also guides clients through administrative investigations before the Capital Markets Board, and the fundamental phases of IPO preparation.

Baran’s corporate practice covers corporate governance, and capital matters, as well as ongoing corporate maintenance for clients across various sectors. He takes part in M&A deals involving manufacturing and retail groups, energy companies, investment institutions, and crypto-asset providers, handling due diligence and preparing SPA and SHA documentation.

In the energy sector, Baran counsels companies involved in generation, storage, and distribution on licensing requirements and market compliance. He prepares and negotiates EPC and supply-chain contracts and offers regulatory insight on licensing frameworks, including license-exempt project models.
Baran contributes to academic scholarship through his published work titled Intra-Group Loans from the Perspective of Companies and Stakeholders (in the Context of Public and Non-Public Companies) and is currently pursuing his doctoral studies in private law.

Baran holds the Capital Market Activities Level 1 License.
