NAZ DURU MOLA

Naz Duru Mola practices corporate transactions, primarily involved in cross-border mergers and acquisitions projects. She takes part in conducting the due diligence reports for numerous landmark buy-side and sell-side mergers and acquisitions transactions. She works on drafting, reviewing, and revising a wide range of commercial agreements and corporate governance documents for a diverse clientele, both domestic and international, providing legal support on management and regulatory matters. She also assists globally recognized foreign and domestic companies in their day-to-day business operations.

Naz specifically assists high-profile international companies by providing corporate advisory services about company establishment, company liquidation, branch openings/closings, share capital increases, capital reduction, organization of board meetings, board appointments, board resignations, bank account openings, and legal support on bank-related commercial decisions under Turkish law.

Naz works on the preparation of various commercial agreements, including share purchase agreements, shareholders’ agreements, joint-venture agreements, lease agreements, non-disclosure agreements, and employment agreements. Additionally, she advises well-known domestic and international companies in their business operations in Türkiye and provided legal services on corporate governance. She also practices capital markets law and works in large-scale initial public offerings in the Turkish market by writing legal opinions and prospectuses.

Naz supports a broad range of domestic and international companies, most notably in energy, information technologies, and digital marketing, as well as private equity investors and financial technology companies.

She had gained international legal experience in Portugal and prepared corporate governance documents and commercial agreements for international clients, legal opinions, and memorandums based on European Union Law.
