She has a strong track record supporting during commercial finance projects and loan facilities.
Hazal focuses on corporate and commercial law, assisting high-profile clients in negotiating and restructuring various contracts, ensuring their Turkish operations run smoothly. She helps with a full range of day-to-day issues and questions related to corporate and commercial law, including employment, corporate governance, capital markets and IT matters.
She has notable experience supporting clients during mergers, acquisitions, and joint ventures, helping ensure these corporate transactions run and close smoothly. She plays a key role in due-diligence activities, as well as preparing and negotiating transaction documents such as share purchase, share subscription, and shareholders’ contracts. Her close involvement during due diligence stages often enables Hazal to identify potential legal risks and red-flags for clients during later stages, as well as suggest methods to address these.
In the project finance context, Hazal assists multi-national borrowers and financial institutions, export credit agencies, foreign commercial banks and corporate borrowers regarding a full spectrum of financing transactions or loan facilities. She has particular experience drafting security contracts for these transactions, along with supporting on acquisition refinancing, trade finance refinancing arrangements, as well as portfolio risk management.
